GROUP FITNESS TERMS
Group Fitness Membership Terms

By purchasing, enrolling in, or using a CULTURE. Group Fitness Membership, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions.
These Terms & Conditions govern all CULTURE. group fitness memberships and apply to all group fitness offerings, including but not limited to BOXING., HEROBOARD PILATES., STRENGTH., open gym access, and any current or future group fitness programs offered by CULTURE.
These Terms & Conditions supersede all prior membership policies, agreements, communications, and understandings relating to CULTURE. group fitness memberships.

1. ELIGIBILITY & ENROLLMENT
1.1 Age Requirement
Participants must be at least eighteen (18) years of age to independently purchase, register for, or participate in CULTURE. group fitness memberships and classes.
Individuals under the age of eighteen (18) are not eligible for CULTURE. group fitness memberships. Private training or private group sessions for minors may be offered solely at CULTURE.'s discretion and require written consent from a parent or legal guardian.
1.2 Health Clearance
By enrolling in or participating in CULTURE. group fitness classes, you expressly represent and warrant that you are in good physical condition and are physically capable of safely participating in all activities offered by CULTURE., including but not limited to BOXING., HEROBOARD PILATES., STRENGTH., open gym access, and any current or future group fitness programs.
You acknowledge that it is your sole responsibility to obtain medical clearance from a licensed healthcare provider regarding any pre-existing medical conditions, injuries, illnesses, pregnancy, medications, or physical limitations prior to participating in any CULTURE. activity.
CULTURE. does not provide medical evaluations, health screenings, medical advice, diagnosis, or treatment and makes no representations or warranties regarding your physical readiness or ability to safely participate.
Participation in any CULTURE. activity is entirely voluntary and at your own risk. You voluntarily assume full responsibility for any injury, illness, adverse health event, disability, property damage, or other loss or damages that may arise directly or indirectly from your participation in any CULTURE. class, service, event, or use of the facility.

2. MEMBERSHIP STRUCTURE & BILLING
2.1 Membership Access
Access to CULTURE. group fitness classes, facilities, and membership amenities is determined by the membership tier purchased by the member. Membership benefits, access privileges, and included services are subject to change at CULTURE.'s discretion with notice in accordance with these Terms & Conditions.
Current membership tiers include:
• UNLIMITED. – Unlimited access to all CULTURE. group fitness classes.
• EIGHT. – Access to eight (8) group fitness classes per monthly billing cycle.
• FOUR. – Access to four (4) group fitness classes per monthly billing cycle.
• ALL ACCESS. – Unlimited access to all CULTURE. group fitness classes plus open gym access during designated operating hours.
2.1.1 Credit Validity & Expiration
Class credits included with EIGHT. and FOUR. memberships are valid only during the monthly billing cycle in which they are issued.
Unused class credits automatically expire at the end of each billing cycle and do not roll over unless expressly approved by CULTURE. in accordance with Section 2.1.2.
Expired credits have no cash value, are non-transferable, and will not be reinstated except at CULTURE.'s sole discretion.
2.1.2 Credit Rollover Allowance (EIGHT. & FOUR. Members Only)
As a courtesy, CULTURE. may allow members enrolled in the EIGHT. or FOUR. membership tiers to roll over unused class credits up to two (2) times per calendar year.
To be eligible, members must submit a rollover request in writing within five (5) calendar days following the end of the applicable billing cycle.
Approved rollover credits:
• Must be used within the member's next monthly billing cycle.
• Expire immediately at the end of that billing cycle if unused.
• Are limited to two (2) approved rollover requests per member, per calendar year.
Credit rollover is a discretionary courtesy and is not a guaranteed membership benefit. CULTURE. reserves the sole right to approve or deny any rollover request for any reason.
2.2 Daily Class Booking Policy
Members may book multiple classes within the same day, subject to class availability.
To promote fair access for all members, CULTURE. reserves the right to prioritize bookings for members who have not yet attended a class that day when classes are at or near capacity, have active waitlists, or are otherwise experiencing high demand.
CULTURE. further reserves the right to modify, limit, or cancel class reservations, booking privileges, or daily attendance limits as reasonably necessary to maintain class quality, operational efficiency, member experience, and equitable access for all active members.
2.3 Open Gym Access (ALL ACCESS. Members Only)
Open gym access is an exclusive benefit available only to members with an active ALL ACCESS. membership. Access is permitted only during designated open gym hours as determined by CULTURE.
Open gym hours, availability, equipment access, and facility access are subject to change at any time without prior notice based on operational needs, staffing, scheduled classes, private events, maintenance, specialty programming, safety considerations, or other business requirements.
CULTURE. events, experiences, our ATHLETE. program, personal training, and all GROUP FITNESS. classes receive scheduling priority. Open gym availability is intentionally structured around these offerings to preserve the member experience and maintain the operational standards of the facility.
Open gym access is a membership benefit and not a guaranteed service. CULTURE. reserves the right to temporarily suspend, modify, restrict, or discontinue open gym access, operating hours, or facility availability at its sole discretion. Such changes shall not entitle members to refunds, credits, or adjustments to membership fees.
2.4 Auto-Renewal Authorization
All CULTURE. group fitness memberships automatically renew on a recurring monthly basis unless cancelled in accordance with Section 3.1 of these Terms & Conditions.
By purchasing a membership, the member expressly authorizes CULTURE. and its authorized third-party payment processor to automatically charge the payment method on file for all recurring membership dues, applicable taxes, late fees, no-show fees, cancellation fees, retail purchases, event registrations, and any other authorized charges incurred on the member's account.
Recurring membership charges will be processed on the same calendar day of each month as the member's original purchase date, or on the nearest available processing day if that date falls on a weekend, holiday, or day on which payment processing is unavailable.
Members are solely responsible for maintaining accurate and current payment information. Failure to update payment information does not relieve the member of their financial obligations under these Terms & Conditions.
If payment is submitted using a credit card, debit card, bank account, or other payment method belonging to a third party, the member represents and warrants that they have obtained the cardholder's or account holder's full authorization to use that payment method. CULTURE. assumes no responsibility or liability for disputes arising from unauthorized, shared, or improperly authorized payment methods.
2.5 Payment Processing & Data Security
CULTURE. utilizes secure third-party payment processors to process all membership payments and authorized account charges. Payment information is handled in accordance with applicable industry security standards established by the payment processor.
While CULTURE. takes commercially reasonable measures to safeguard member information, no method of electronic transmission or data storage can be guaranteed to be completely secure. Accordingly, CULTURE. makes no warranty regarding the absolute security of member information.
To the fullest extent permitted by law, CULTURE. shall not be liable for unauthorized access, data breaches, identity theft, fraudulent transactions, system failures, or other security incidents resulting from circumstances beyond CULTURE.'s reasonable control, including acts or omissions of third-party service providers, payment processors, financial institutions, or the member's own negligence.
2.6 Failed Payments, Billing Enforcement & Chargebacks
Failed Payments
Members are responsible for ensuring that a valid payment method remains on file at all times.
If a recurring membership payment or any other authorized charge is declined or returned for any reason:
• A forty-eight (48) hour grace period will be provided to update the payment method and resolve the outstanding balance.
• If payment is not successfully processed within the grace period, a $15 late payment fee will automatically be added to the member's account.
• Booking privileges and access to the CULTURE. app, classes, services, and facilities may be suspended immediately until all outstanding balances have been paid in full.
• If the outstanding balance remains unpaid for seven (7) calendar days, the membership may be placed on temporary suspension and all membership privileges may be revoked until the account is brought current.
• If any balance remains unpaid for thirty (30) or more calendar days, CULTURE. reserves the right to refer the account to a licensed third-party collections agency or pursue any other legal remedy available for the recovery of outstanding balances. The member agrees to remain responsible for all reasonable collection costs, administrative fees, attorney's fees where permitted by law, and any other expenses incurred in collecting the debt.
CULTURE. is not responsible for overdraft fees, insufficient funds charges, bank fees, interest charges, or any other financial penalties imposed by the member's financial institution as a result of attempted payment processing.
Chargebacks & Payment Disputes
Members agree to contact CULTURE. directly and make a good-faith effort to resolve any billing concerns prior to initiating a chargeback or payment dispute with their financial institution.
If a chargeback or payment dispute is initiated for a valid CULTURE. charge:
• The membership will be immediately suspended pending resolution.
• A $35 chargeback administration fee may be assessed to cover administrative costs associated with responding to the dispute.
• CULTURE. reserves the right to dispute the chargeback and provide supporting documentation to the issuing financial institution.
• The member remains financially responsible for all valid membership charges, services rendered, products received, and any outstanding account balances regardless of the chargeback status.
Repeated Payment Failures
Members who demonstrate a repeated pattern of failed payments, declined transactions, late payments, chargebacks, or other payment-related issues may have their membership suspended or permanently terminated at CULTURE.'s sole discretion.
CULTURE. also reserves the right to refuse future memberships, services, purchases, or access to any individual with a history of payment non-compliance.

3. MEMBERSHIP CHANGES
3.1 Membership Cancellation
Members may cancel their CULTURE. group fitness membership at any time by submitting the official Membership Cancellation Request Form. Submission of this form constitutes the member's official written thirty (30) calendar day notice of cancellation.
The official Membership Cancellation Request Form is the only accepted method of cancelling a membership. Requests submitted via email, text message, phone call, social media, direct message, or verbal communication with any CULTURE. team member will not be accepted or processed. The Membership Cancellation Request Form is available through the CULTURE. website, or any other location designated by CULTURE.
All memberships require a minimum two (2) month commitment before cancellation is permitted. The two-month commitment begins on the date of the initial membership payment and applies regardless of attendance, membership usage, or account activity.
The thirty (30) calendar day notice period begins on the date and time the Membership Cancellation Request Form is successfully submitted.
Membership billing will continue as scheduled during the required thirty (30) calendar day notice period. If a regularly scheduled billing date occurs within the notice period, that payment will be processed as normal. Members will continue to receive full membership access and benefits until the effective cancellation date. Cancellation of a membership does not cancel or affect any separately purchased services, events, retail purchases, private training packages, or other agreements unless expressly stated in writing by CULTURE.
Cancellation requests cannot be submitted retroactively. The effective notice date is determined solely by the timestamp of the submitted Membership Cancellation Request Form.
No refunds, prorated credits, or reimbursements will be issued for membership fees charged during the required cancellation notice period.
Submission of a Membership Cancellation Request Form does not waive or satisfy any outstanding account balance. Any unpaid membership dues, late fees, no-show fees, chargeback fees, or other outstanding charges incurred prior to the effective cancellation date remain the sole responsibility of the member.
It is the member's responsibility to submit the Membership Cancellation Request Form in a timely manner. Failure to submit the official form does not constitute notice of cancellation and does not release the member from future billing obligations.
CULTURE. reserves the right to verify all cancellation requests and process membership termination in accordance with these Terms & Conditions.
3.2 Membership Upgrades & Downgrades
Members may request to upgrade or downgrade their membership by submitting a request through CULTURE.'s designated communication method in accordance with Section 11 of these Terms & Conditions.
Upgrades
• Membership upgrades may be processed immediately at CULTURE.'s discretion.
• If an upgrade is processed during an active billing cycle, a prorated charge may be applied for the remainder of the current billing period.
• Upgraded membership benefits become effective once the membership change has been processed.
Downgrades
• Downgrade requests must be submitted at least seven (7) calendar days prior to the member's next scheduled billing date.
• Requests received fewer than seven (7) calendar days before the next billing date will become effective during the following billing cycle.
• Downgrades are not applied retroactively, and no refunds, credits, or prorated adjustments will be issued for unused benefits associated with the previous membership tier.
CULTURE. reserves the right to approve, deny, or delay any membership change request when reasonably necessary for operational, billing, or administrative purposes.
3.3 Membership Freezes
CULTURE. offers eligible members the option to temporarily freeze their membership under the following terms:
Standard Membership Freeze
• Members may request one (1) membership freeze per calendar year for up to three (3) consecutive months.
• A $15 monthly freeze fee will be charged for each month the membership is frozen.
• Freeze requests must be submitted through CULTURE.'s designated communication method in accordance with Section 11 at least five (5) business days prior to the member's next scheduled billing date.
• Membership billing will be suspended during the approved freeze period, excluding applicable freeze fees.
• Members may not book classes, access open gym, attend events included with membership, or otherwise utilize membership benefits while the membership is frozen.
Medical Membership Freeze
• Medical freezes are exempt from the monthly freeze fee but require documentation from a licensed healthcare provider.
• The duration of a medical freeze will be determined on a case-by-case basis and is subject to CULTURE.'s approval.
Extended Freeze Requests
• Members experiencing long-term injury, surgery, pregnancy, military deployment, or other extraordinary circumstances may request an extended membership freeze.
• Approval of extended freeze requests is at the sole discretion of CULTURE. and may require supporting documentation.
General Freeze Conditions
• Freeze requests cannot be applied retroactively.
• Membership freezes do not extend promotional pricing, founding member benefits, or grandfathered membership rates unless expressly approved in writing by CULTURE.
• No refunds or credits will be issued for late freeze requests or for memberships used prior to an approved freeze becoming effective.
CULTURE. reserves the right to approve, deny, modify, or discontinue membership freeze privileges at its sole discretion.
3.4 Refund Policy
Except as expressly provided in these Terms & Conditions or as otherwise required by applicable law, all membership purchases, membership dues, late fees, no-show fees, chargeback fees, retail purchases, event registrations, and other charges are final and non-refundable. Any exception shall be made solely at CULTURE.'s discretion and shall not establish a precedent for future refunds.

4. CLASS BOOKING POLICIES
4.1 Class Booking
All class reservations must be made through the official CULTURE. booking platform or app. Walk-in registrations are not guaranteed and may be denied if a class has reached capacity, registration has closed, or operational limitations prevent additional participation.
Classes are programmed, staffed, and prepared based on scheduled attendance. Advance booking helps maintain class quality, coach preparation, and the overall member experience.
Unless otherwise announced by CULTURE.:
• Class reservations open fourteen (14) days prior to the scheduled class.
• Online booking closes thirty (30) minutes before the scheduled class start time.
Booking windows, class schedules, instructor assignments, capacities, and availability are subject to change at any time at CULTURE.'s sole discretion.
Members are solely responsible for managing their class reservations, cancellations, waitlist status, and attendance. Failure to receive reminders, notifications, emails, or app alerts does not excuse compliance with any booking, cancellation, or attendance policy.
4.2 Cancellations & No-Shows
All class cancellations must be completed through the official CULTURE. booking platform or app. Cancellations submitted by email, text message, phone call, social media, direct message, or verbal communication with a CULTURE. team member will not be accepted.
Members must cancel their class reservation at least twelve (12) hours prior to the scheduled class start time to avoid applicable fees.
The following fees apply:
• Late Cancellation: Cancellations made fewer than twelve (12) hours before the scheduled class start time will incur a $10 late cancellation fee.
• No-Show: Members who fail to attend a reserved class without cancelling will incur a $15 no-show fee.
All applicable fees will be automatically charged to the payment method on file and are non-refundable.
For members utilizing credit-based memberships or class packs, a no-show will result in a $15 no-show fee; however, the reserved class credit will remain on the member's account and will not be forfeited.
Members are solely responsible for monitoring and managing their class reservations. Failure to receive confirmation emails, reminder notifications, waitlist alerts, or other communications does not waive applicable late cancellation or no-show fees.
CULTURE. reserves the right to waive fees in exceptional circumstances at its sole discretion. Any waiver granted in one instance shall not establish a precedent or obligation to waive future fees.
Repeated late cancellations, no-shows, or abuse of the booking system may result in temporary suspension of booking privileges, membership restrictions, or additional disciplinary action as determined by CULTURE.
4.3 Waitlist Policy
If a class reaches capacity, members may add themselves to the waitlist through the official CULTURE. booking platform or app.
When a spot becomes available, eligible members may be automatically added to the class in waitlist order and notified through the booking platform, app, email, and/or other available communication methods.
Members are solely responsible for monitoring their waitlist status and cancelling their reservation if they are no longer able to attend. Once a member has been added from the waitlist, all standard cancellation and no-show policies immediately apply.
Failure to receive or view a waitlist notification, email, text message, app notification, or other communication does not exempt a member from applicable late cancellation or no-show fees.
To promote equitable access during periods of high demand, CULTURE. reserves the right to prioritize members who have not yet attended a class that day or otherwise adjust waitlist placement, enrollment, or class access at its sole discretion.
Repeated misuse of the waitlist system—including but not limited to repeatedly joining waitlists without the intention of attending, excessive late cancellations after being added from the waitlist, or repeated no-shows—may result in temporary suspension of booking privileges, waitlist restrictions, or other disciplinary action as determined by CULTURE.

5. FACILITY & MEMBER CONDUCT
5.1 Mutual Respect, Accountability & Community
All members are expected to uphold the standards, values, and culture that define the CULTURE. community.
Members agree to:
• Treat fellow members, coaches, staff, guests, and the facility with respect and professionalism.
• Conduct themselves in a manner that contributes to a safe, inclusive, supportive, and positive training environment.
• Accept responsibility for their actions, bookings, equipment usage, and adherence to all CULTURE. policies.
Disruptive, abusive, threatening, discriminatory, harassing, intimidating, or otherwise inappropriate conduct toward staff, members, guests, or visitors will not be tolerated.
CULTURE. reserves the right to issue warnings, remove a member from any class or event, suspend membership privileges, or terminate membership at any time if a member's conduct is determined to be inconsistent with the standards, values, or safety of the CULTURE. community.
Membership termination or disciplinary action under this section shall not entitle the member to any refund, credit, or reimbursement.
5.2 Respect for Space & Equipment
CULTURE. is a professionally maintained training facility, and all members are expected to treat the space, equipment, and amenities with care, respect, and accountability.
Members agree to:
• Use all equipment only for its intended purpose and in accordance with coach or staff instruction.
• Return all equipment to its designated location immediately following use.
• Wipe down and sanitize equipment after each use using the cleaning supplies provided.
• Refrain from reserving, relocating, modifying, or removing equipment without prior authorization from CULTURE. staff.
• Immediately report any damaged, malfunctioning, or unsafe equipment to a CULTURE. team member.
Members are financially responsible for any damage to CULTURE.'s facility, equipment, or property resulting from intentional misconduct, negligence, misuse, or failure to follow staff instructions.
CULTURE. reserves the right to restrict access, suspend membership privileges, assess reasonable repair or replacement costs, or terminate membership for misuse of equipment, damage to the facility, or failure to comply with this policy.
5.3 Staff Interaction & Authority
CULTURE. coaches, front desk staff, and leadership team are responsible for maintaining the safety, operations, and overall member experience within the facility. Members are expected to treat all CULTURE. team members with professionalism, courtesy, and respect and to comply with all reasonable instructions provided by staff.
Members may not:
• Engage in verbal abuse, harassment, intimidation, threats, discrimination, or disruptive behavior toward any CULTURE. team member or other member.
• Interfere with, interrupt, or undermine the instruction, coaching, or responsibilities of CULTURE. staff.
• Coach, instruct, correct, or provide unsolicited training advice to other members unless expressly authorized by CULTURE.
• Conduct personal training, group instruction, business solicitation, or promotion of outside services within the facility without prior written approval from CULTURE.
• Refuse to comply with reasonable staff instructions related to safety, facility operations, class procedures, or enforcement of these Terms & Conditions.
All decisions made by CULTURE. staff regarding safety, class participation, facility operations, scheduling, equipment usage, or policy enforcement are final while on CULTURE. premises.
Failure to comply with staff direction or violation of this section may result in immediate removal from the facility or class, suspension of membership privileges, termination of membership, or any other action deemed appropriate by CULTURE. No refund or credit will be issued as a result of disciplinary action taken under this section.
5.4 Attire & Hygiene
To promote a safe, professional, and enjoyable training environment, all members are expected to maintain appropriate attire and personal hygiene while using the CULTURE. facility.
Members are required to:
• Wear clean, appropriate athletic clothing suitable for the activities being performed.
• Wear closed-toe athletic shoes during all BOXING. and STRENGTH. classes unless otherwise instructed by a CULTURE. coach.
• Wear socks or grip socks during HEROBOARD PILATES. classes when required or recommended for safety and hygiene.
• Wear hand wraps and closed boxing gloves during all BOXING. classes. Members may bring their own equipment or purchase or rent approved equipment through CULTURE., subject to availability.
Members are expected to maintain reasonable personal hygiene, including wearing clean workout attire and using deodorant or other appropriate hygiene products. Members whose hygiene, attire, or condition creates an unreasonable disruption, health concern, or negative experience for others may be asked to leave the facility or return at a later time.
CULTURE. reserves the right to deny participation, remove a member from class, or restrict facility access if a member fails to comply with attire, safety equipment, or hygiene requirements.
5.5 Personal Belongings & Lost Items
Members are solely responsible for all personal belongings brought onto CULTURE. premises. CULTURE. is not responsible or liable for any lost, stolen, misplaced, or damaged personal property, regardless of where such property is stored or left within the facility.
Members are encouraged to leave valuables at home whenever possible and to properly secure all personal belongings while using the facility.
Members agree to:
• Store all bags, clothing, phones, and personal items in designated areas and keep walkways, workout spaces, and emergency exits clear at all times.
• Refrain from leaving personal belongings unattended in workout areas, studios, or common spaces.
• Promptly retrieve all personal belongings upon leaving the facility.
Found property will be placed in CULTURE.'s designated Lost & Found area for up to seven (7) calendar days. After that time, unclaimed items may be donated, discarded, or otherwise disposed of at CULTURE.'s sole discretion.
CULTURE. reserves the right to remove unattended personal property that creates a safety hazard, obstructs facility operations, or interferes with the member experience.
5.6 Substance Use & Intoxication
CULTURE. is committed to providing a safe, professional, and high-performing training environment. Members are expected to participate in all classes, services, and facility activities in a manner that does not compromise their own safety or the safety and experience of others.
Members may not enter or use the CULTURE. facility, attend classes, or participate in any CULTURE. service while under the influence of alcohol, cannabis, illegal drugs, or any substance that may impair judgment, coordination, reaction time, or the ability to safely participate.
The possession, use, sale, or distribution of illegal drugs or controlled substances on CULTURE. premises is strictly prohibited and may result in immediate removal from the facility and permanent termination of membership.
Members taking prescription medications are responsible for ensuring they are able to safely participate in physical activity. CULTURE. reserves the right to deny participation if a member appears unable to safely participate, regardless of the cause.
Alcohol may be served at select CULTURE. events; however, disruptive, unsafe, intoxicated, or inappropriate behavior will not be tolerated and may result in immediate removal from the event or facility.
CULTURE. reserves the sole right to deny participation, remove any individual from the facility, suspend membership privileges, or terminate membership if staff reasonably believe the individual presents a safety risk, is impaired, or is otherwise unable to safely participate. Any action taken under this section shall not entitle the member to a refund, credit, or reimbursement.
5.7 Guest & Visitor Policy
CULTURE. may offer guest privileges to eligible members as a membership benefit. Guest privileges are a courtesy extended at CULTURE.'s sole discretion and may be modified, suspended, or discontinued at any time.
Unless otherwise specified by CULTURE., active ALL ACCESS. members may invite up to two (2) guests per calendar month.
Guest participation is subject to the following conditions:
• Each guest must create their own CULTURE. account and complete all required waivers and agreements prior to participating.
• All guest reservations must be completed through CULTURE.'s designated booking platform or other approved registration process.
• Guest access is subject to class availability, facility capacity, operational needs, and staff approval.
• Guests must comply with all CULTURE. policies, including these Terms & Conditions, facility rules, safety requirements, and coach instructions.
• The hosting member is responsible for ensuring their guest complies with all CULTURE. policies and may be held financially responsible for any fees, damages, or policy violations incurred by their guest.
• Late cancellation and no-show policies apply equally to guests. Any applicable fees will be charged to the hosting member's payment method on file.
Guests who fail to follow CULTURE. policies, disrupt the member experience, or create safety concerns may be denied future access.
CULTURE. reserves the right to deny, restrict, suspend, or revoke guest privileges at any time for operational, safety, capacity, or business reasons without prior notice. Guest privileges are a membership benefit and do not create a guaranteed right of access.

6. LIABILITY WAIVER & ASSUMPTION OF RISK
6.1 Participation Waiver
By purchasing a membership, entering the CULTURE. facility, or participating in any CULTURE. class, event, service, or activity, you voluntarily acknowledge and assume all risks associated with physical exercise and fitness activities, whether known or unknown, including but not limited to the risk of injury, illness, permanent disability, property damage, or death.
You understand and acknowledge that participation in BOXING., HEROBOARD PILATES., STRENGTH., open gym activities, specialty events, and all other CULTURE. programs involves inherent risks that cannot be eliminated regardless of the level of supervision, instruction, or safety precautions provided.
You certify that you are voluntarily participating in all CULTURE. activities at your own risk and accept full responsibility for your physical condition, limitations, and ability to safely participate.
CULTURE. does not provide medical advice, diagnosis, treatment, or guarantees regarding fitness results or injury prevention. You acknowledge that it is your responsibility to consult with a licensed healthcare provider before participating in physical activity.
To the fullest extent permitted by applicable law, you voluntarily waive, release, discharge, and agree to hold harmless CULTURE., its owners, officers, directors, employees, contractors, coaches, agents, affiliates, successors, and assigns from any and all claims, demands, causes of action, liabilities, damages, costs, or expenses arising out of or relating to your participation in any CULTURE. activity, except to the extent caused by gross negligence or willful misconduct where such limitation is prohibited by law.
This waiver applies to all CULTURE. services, including on-site classes, open gym access, off-site events, workshops, pop-up events, competitions, community events, and any activity conducted or sponsored by CULTURE.
6.2 Emergency Response & Medical Treatment
In the event of an illness, injury, accident, or other medical emergency occurring while participating in any CULTURE. activity or while on CULTURE. premises, you authorize CULTURE. staff to take reasonable action to protect your health and safety.
Such actions may include, but are not limited to:
• Contacting emergency medical services (911).
• Administering basic first aid within the scope of staff training.
• Contacting your designated emergency contact, if available.
You acknowledge and understand that:
• CULTURE. does not employ licensed medical professionals on-site and does not guarantee the availability, response time, or outcome of emergency medical services.
• Any decision to seek emergency medical assistance will be made in good faith based on the information available at the time.
• You are solely responsible for all medical expenses, emergency transportation costs, hospital charges, physician fees, rehabilitation costs, and any other expenses arising from medical treatment or emergency response.
• It is your responsibility to maintain accurate and current emergency contact information within your member profile.
To the fullest extent permitted by law, CULTURE. shall not be liable for any acts, omissions, delays, or outcomes relating to emergency response, medical treatment, emergency transportation, or the availability of emergency services.

7. MEDIA RELEASE
By entering the CULTURE. facility or participating in any CULTURE. class, event, workshop, service, or activity, you acknowledge and consent to being photographed, filmed, recorded, or otherwise captured in visual or audio media for promotional, educational, editorial, commercial, and marketing purposes.
CULTURE. regularly captures photos, videos, and other media to showcase its community, classes, events, and brand experiences across websites, social media platforms, advertisements, email marketing, printed materials, public relations, and other current or future media channels.
You grant CULTURE., its affiliates, successors, assigns, and authorized marketing partners the unrestricted, perpetual, worldwide, royalty-free right to use, reproduce, edit, publish, distribute, display, transmit, modify, and otherwise utilize your name, likeness, image, voice, and appearance in any media now known or later developed without compensation, notification, or further approval.
This consent applies to both individual and group photography or videography.
Members who wish to opt out of identifiable individual media must submit a written request to hello@culturetwc.com prior to participating. While CULTURE. will make reasonable efforts to honor such requests, members acknowledge that CULTURE. cannot guarantee exclusion from incidental appearances in crowd shots, background footage, live events, or other media captured in shared spaces.
All photographs, videos, recordings, and other media created by or on behalf of CULTURE. remain the exclusive property of CULTURE. and may be used at CULTURE.'s sole discretion.

8. MEMBER RECORDING & PHOTOGRAPHY
8.1 Personal Use Content
Members may capture limited photos or videos for personal, non-commercial use provided such recording does not interfere with classes, coaches, staff, or the experience of other members.
Personal recording is permitted only under the following conditions:
• Recording must receive prior approval from the lead coach or a CULTURE. staff member.
• Recording must not disrupt class instruction, coaching, member participation, or facility operations.
• No member, coach, staff member, or guest may be intentionally recorded without their express consent.
• Equipment, lighting, class layouts, or workout stations may not be altered or reserved for the purpose of filming.
• Members may request assistance from CULTURE. staff with filming; however, staff are under no obligation to provide such assistance.
Members are encouraged to tag @culture.twc when sharing personal content featuring the CULTURE. facility or experience.
Personal-use recording may not be used for commercial purposes, business promotion, coaching services, paid partnerships, influencer marketing, sponsorships, or any activity intended to generate revenue without CULTURE.'s prior written approval.
CULTURE. reserves the right to restrict, suspend, or prohibit photography or recording at any time to protect member privacy, preserve class quality, maintain safety, or safeguard CULTURE.'s proprietary programming and intellectual property.
Violation of this policy may result in removal of the content, suspension of recording privileges, membership restrictions, or termination of membership.
8.2 Commercial Use Content
Any photography, videography, recording, livestreaming, or other content created for commercial, promotional, educational, or business purposes requires prior written approval from CULTURE.
Commercial use includes, but is not limited to:
• Sponsored or paid social media content.
• Influencer marketing campaigns.
• Brand partnerships or collaborations.
• Professional photography or videography.
• Online coaching or fitness programming.
• Educational courses or subscription content.
• Advertising, promotional materials, or business marketing.
• Any content intended to generate revenue or promote a business, product, or service.
Commercial content may only be created through an approved rental, partnership, licensing agreement, or written authorization provided by CULTURE.
Commercial filming is prohibited during regularly scheduled classes unless expressly authorized by CULTURE.
No portion of CULTURE.'s programming, class formats, coaching methods, music selection, lighting sequences, instructor cueing, proprietary systems, or branded experiences may be recorded, reproduced, distributed, taught, or used for commercial purposes without prior written authorization.
Unauthorized commercial recording or use of CULTURE.'s intellectual property may result in immediate removal from the facility, membership termination, legal action, injunctive relief, monetary damages, and any other remedies available under applicable law.

9. FORCE MAJEURE
CULTURE. shall not be responsible for delays, interruptions, cancellations, closures, or the inability to provide services resulting from circumstances beyond its reasonable control, including but not limited to:
• Natural disasters.
• Severe weather.
• Fire.
• Flood.
• Power or utility outages.
• Government orders.
• Public health emergencies.
• Labor disputes.
• Equipment failure.
• Facility damage.
• Acts of terrorism.
• Civil unrest.
• Other unforeseen events beyond CULTURE.'s reasonable control.
In such circumstances, CULTURE. may modify operations, temporarily suspend services, reschedule appointments or classes, extend applicable expiration periods where appropriate, or take other reasonable actions as necessary.

10. INTELLECTUAL PROPERTY
All content, programming, class formats, training systems, coaching methodologies, workouts, branding, logos, trademarks, graphics, written materials, videos, photographs, music selections, lighting sequences, cueing systems, educational materials, and all other proprietary materials offered by or through CULTURE. are and shall remain the exclusive intellectual property of CULTURE. or its respective licensors.
This includes, but is not limited to, BOXING., HEROBOARD PILATES., STRENGTH., specialty programming, workshops, coach education, operational systems, and any current or future proprietary modalities developed or licensed by CULTURE.
Members may not, without prior written authorization from CULTURE.:
• Copy, reproduce, record, photograph, distribute, publish, transmit, display, or create derivative works from any CULTURE. programming or materials.
• Teach, coach, license, sell, sublicense, or otherwise commercially exploit any CULTURE. programming, methodology, class format, or proprietary system.
• Use CULTURE.'s name, logos, trademarks, slogans, graphics, branding, or other intellectual property for personal, commercial, promotional, or business purposes.
• Record or distribute classes, workshops, coach training, or proprietary educational content except as expressly permitted by CULTURE.
Participation in a CULTURE. class or membership grants members a limited, revocable, non-transferable license to participate in CULTURE. programming solely for their own personal, non-commercial use. No ownership rights or intellectual property rights are transferred by virtue of membership or participation.
Any unauthorized use, reproduction, disclosure, distribution, or commercial exploitation of CULTURE.'s intellectual property may result in immediate termination of membership, removal from the facility, injunctive relief, monetary damages, recovery of attorney's fees and costs where permitted by law, and any other legal or equitable remedies available.
CULTURE. expressly reserves all intellectual property rights not expressly granted within these Terms & Conditions.

11. TERMINATION & ENFORCEMENT
CULTURE. reserves the right to suspend, restrict, deny, or terminate any membership or facility access at any time, with or without prior notice, if a member violates these Terms & Conditions, poses a safety risk, disrupts the member experience, or otherwise engages in conduct that is inconsistent with the standards, values, or operations of CULTURE.
Grounds for suspension or termination include, but are not limited to:
• Repeated failed payments, delinquent balances, or chargebacks.
• Violation of any provision of these Terms & Conditions or other CULTURE. policies.
• Disruptive, abusive, threatening, discriminatory, harassing, or inappropriate conduct toward members, staff, guests, or visitors.
• Failure to comply with reasonable instructions provided by CULTURE. staff.
• Unauthorized photography, recording, commercial filming, or misuse of CULTURE.'s intellectual property.
• Damage to CULTURE.'s facility, equipment, or property.
• Conduct that jeopardizes the safety, wellbeing, or experience of members or staff.
• Fraudulent activity, misrepresentation, or misuse of membership benefits.
In addition to suspension or termination, CULTURE. reserves the right to:
• Restrict booking privileges or facility access.
• Remove a member from any class, event, or activity.
• Recover unpaid balances, damages, repair costs, collection expenses, attorney's fees where permitted by law, and any other amounts owed.
• Pursue any legal or equitable remedies available under applicable law.
Membership suspension or termination does not relieve the member of any outstanding financial obligations owed to CULTURE. and does not entitle the member to any refund, credit, reimbursement, or reinstatement unless otherwise required by law.
CULTURE. reserves the right to refuse future memberships, purchases, event registrations, or access to any individual whose previous conduct has resulted in suspension or termination.

12. OFFICIAL COMMUNICATION
All official communications from CULTURE. will be delivered through the contact information provided by the member, including but not limited to email, the CULTURE. app, or other designated communication platforms. Members are solely responsible for maintaining accurate and current contact information and for reviewing all communications sent by CULTURE.
Members are deemed to have received all notices, policy updates, billing communications, and other official correspondence sent to the email address or contact information on file, regardless of whether such communications are opened, read, filtered, delayed, or delivered to spam or junk folders.
Membership-related requests must be submitted through CULTURE.'s designated communication methods:
• Membership Cancellations: Must be submitted exclusively through the official Membership Cancellation Request Form. Submission of the form constitutes the member's official written thirty (30) calendar day notice of cancellation.
• Membership Freezes, Upgrades, and Downgrades: Must be submitted in writing to hello@culturetwc.com or through another communication method expressly designated by CULTURE.
Requests submitted by text message, phone call, social media, direct message, or verbal conversation with any CULTURE. team member will not constitute official notice and will not be accepted or processed.
CULTURE. reserves the right to update its designated communication methods at any time. Members are responsible for complying with the communication procedures in effect at the time their request is submitted.

13. TERMS & POLICY MODIFICATIONS
CULTURE. reserves the right to modify, amend, update, replace, or discontinue these Terms & Conditions, membership policies, pricing, services, programs, membership benefits, operating procedures, or facility rules at any time in its sole discretion.
Members will be provided notice of any material changes through the contact information on file or by any other communication method designated by CULTURE.
Unless otherwise stated, all revisions become effective immediately upon the effective date specified in the notice.
A member's continued purchase, renewal, use of a membership, attendance at classes, access to the facility, or participation in any CULTURE. service following the effective date of any revision constitutes acceptance of the updated Terms & Conditions.
CULTURE. is not required to obtain an additional signature or acknowledgment from members following updates to these Terms & Conditions unless otherwise required by applicable law.

14. SEVERABILITY
If any provision of these Terms & Conditions is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the fullest extent permitted by applicable law, and the remaining provisions shall remain valid, enforceable, and in full force and effect.
Any invalid or unenforceable provision shall not affect the validity or enforceability of the remaining provisions of these Terms & Conditions.

15. ACKNOWLEDGMENT & AGREEMENT
By purchasing, enrolling in, renewing, or using a CULTURE. group fitness membership, you acknowledge that you have carefully read, understood, and voluntarily agree to be legally bound by these Terms & Conditions.
You acknowledge that these Terms & Conditions include, but are not limited to, policies regarding membership billing, automatic renewals, cancellations, freezes, refunds, booking policies, facility rules, media consent, intellectual property, assumption of risk, liability waivers, and member conduct.
You authorize CULTURE. to process recurring membership charges and all other authorized account charges in accordance with these Terms & Conditions.
You further acknowledge that participation in any CULTURE. class, service, event, or facility activity is voluntary and that you assume all risks associated with such participation.
By selecting "I Agree," signing electronically, completing your membership purchase, or otherwise using any CULTURE. membership, service, or facility, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions.

16. GOVERNING LAW
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law principles. Any legal action arising from these Terms & Conditions shall be brought in the appropriate state or federal court located in Idaho unless otherwise required by applicable law.
