Last Updated: June 30, 2026

By purchasing, enrolling in, or using a CULTURE. open gym membership, you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions.

These Terms & Conditions govern all CULTURE. OPEN GYM. memberships and apply to all use of the CULTURE. facility, OPEN GYM. access, equipment, amenities, and any related services or benefits associated with an OPEN GYM. membership.

These Terms & Conditions supersede all prior membership policies, agreements, communications, and understandings relating to CULTURE. open gym memberships.

––

1. ELIGIBILITY & ENROLLMENT

1.1 Age Requirement

Participants must be at least eighteen (18) years of age to independently purchase, register for, or participate in CULTURE. OPEN GYM. memberships.

Individuals under the age of eighteen (18) are not eligible for CULTURE. OPEN GYM. memberships. Minors may only access the facility with prior written authorization from CULTURE., while accompanied by a parent or legal guardian, and under direct supervision at all times.

CULTURE. reserves the right to deny, restrict, or revoke access to any individual at its sole discretion.

1.2 Health Clearance

By enrolling in or participating in CULTURE. OPEN GYM., you expressly represent and warrant that you are in good physical condition and are physically capable of safely participating in self-directed exercise and all activities available within the open gym facility.

You acknowledge that it is your sole responsibility to obtain medical clearance from a licensed healthcare provider regarding any pre-existing medical conditions, injuries, illnesses, pregnancy, medications, or physical limitations prior to participating in any CULTURE. activity.

CULTURE. does not provide medical evaluations, health screenings, medical advice, diagnosis, or treatment and makes no representations or warranties regarding your physical readiness or ability to safely participate.

Participation in CULTURE. OPEN GYM. is entirely voluntary and at your own risk. You voluntarily assume full responsibility for any injury, illness, adverse health event, disability, property damage, or other loss or damages that may arise directly or indirectly from your use of the facility, equipment, or participation in self-directed exercise.

2. MEMBERSHIP STRUCTURE & BILLING

2.1 Membership Access

An active CULTURE. OPEN GYM. membership grants members access to designated training equipment, workout areas, and facility amenities during approved open gym operating hours.

Open gym access includes designated use of:

• Strength and conditioning equipment, including free weights, machines, functional training equipment, and turf.

• Cardio equipment.

• Heavy bags, uppercut bags, and speed bags located within the boxing area.

• Studio space only when approved by CULTURE. staff and not otherwise reserved.

Open gym access is subject to the following conditions:

Boxing Ring

The boxing ring is strictly prohibited during open gym hours unless expressly authorized by CULTURE. for private training, scheduled programming, or approved events.

Group Fitness Priority

All GROUP FITNESS. classes, private training sessions, ATHLETE. programming, specialty events, workshops, and facility rentals receive priority over OPEN GYM. usage.

Open gym members may not enter, interfere with, occupy, or disrupt any area reserved for scheduled programming.

Members are solely responsible for reviewing the CULTURE. schedule and respecting all reserved spaces before beginning their workout.

Studio Access

Studio access is permitted only with prior approval from CULTURE. staff and only when the studio is not reserved for classes, private sessions, events, maintenance, or operational use.

While using the studio:

• Shoes are prohibited inside the studio.

• Members may not bring weights, benches, barbells, or other equipment into the studio without prior staff approval.

• Members must immediately vacate the studio if requested by CULTURE. staff.

Private Events & Facility Closures

CULTURE. regularly hosts private events, rentals, workshops, competitions, media productions, and other programming.

Portions of the facility—or the entire facility—may be temporarily unavailable during these events.

Open gym access is a membership benefit and not a guaranteed service. CULTURE. reserves the right to modify, suspend, restrict, or discontinue access to any portion of the facility at any time for operational, safety, maintenance, staffing, scheduling, or business reasons.

Such changes shall not entitle members to refunds, credits, or membership fee adjustments.

Boxing Equipment

Members using any boxing bags must wear closed boxing gloves and hand wraps at all times.

Members may provide their own equipment or purchase or rent approved equipment from CULTURE., subject to availability.

Failure to comply with any open gym rules, facility restrictions, equipment requirements, or staff instructions may result in suspension or termination of membership privileges.

2.2 Auto-Renewal Authorization

All CULTURE. OPEN GYM. memberships automatically renew on a recurring monthly basis unless cancelled in accordance with Section 3.1 of these Terms & Conditions.

By purchasing a membership, the member expressly authorizes CULTURE. and its authorized third-party payment processor to automatically charge the payment method on file for all recurring membership dues, applicable taxes, late fees, chargeback fees, retail purchases, event registrations, and any other authorized charges incurred on the member's account.

Recurring membership charges will be processed on the same calendar day of each month as the member's original purchase date, or on the nearest available processing day if that date falls on a weekend, holiday, or day on which payment processing is unavailable.

Members are solely responsible for maintaining accurate and current payment information. Failure to update payment information does not relieve the member of their financial obligations under these Terms & Conditions.

If payment is submitted using a credit card, debit card, bank account, or other payment method belonging to a third party, the member represents and warrants that they have obtained the cardholder's or account holder's full authorization to use that payment method. CULTURE. assumes no responsibility or liability for disputes arising from unauthorized, shared, or improperly authorized payment methods.

2.3 Payment Processing & Data Security

CULTURE. utilizes secure third-party payment processors to process all membership payments and authorized account charges. Payment information is handled in accordance with applicable industry security standards established by the payment processor.

While CULTURE. takes commercially reasonable measures to safeguard member information, no method of electronic transmission or data storage can be guaranteed to be completely secure. Accordingly, CULTURE. makes no warranty regarding the absolute security of member information.

To the fullest extent permitted by law, CULTURE. shall not be liable for unauthorized access, data breaches, identity theft, fraudulent transactions, system failures, or other security incidents resulting from circumstances beyond CULTURE.'s reasonable control, including acts or omissions of third-party service providers, payment processors, financial institutions, or the member's own negligence.

2.4 Failed Payments, Billing Enforcement & Chargebacks

Failed Payments

Members are responsible for ensuring that a valid payment method remains on file at all times.

If a recurring membership payment or any other authorized charge is declined or returned for any reason:

• A forty-eight (48) hour grace period will be provided to update the payment method and resolve the outstanding balance.

• If payment is not successfully processed within the grace period, a $15 late payment fee will automatically be added to the member's account.

• Access to the CULTURE. facility, OPEN GYM. privileges, member portal, app access, and all other membership benefits may be suspended immediately until all outstanding balances have been paid in full.

• If the outstanding balance remains unpaid for seven (7) calendar days, the membership may be placed on temporary suspension and all membership privileges may be revoked until the account is brought current.

• If any balance remains unpaid for thirty (30) or more calendar days, CULTURE. reserves the right to refer the account to a licensed third-party collections agency or pursue any other legal remedy available for the recovery of outstanding balances. The member agrees to remain responsible for all reasonable collection costs, administrative fees, attorney's fees where permitted by law, and any other expenses incurred in collecting the debt.

CULTURE. is not responsible for overdraft fees, insufficient funds charges, bank fees, interest charges, or any other financial penalties imposed by the member's financial institution as a result of attempted payment processing.

Chargebacks & Payment Disputes

Members agree to contact CULTURE. directly and make a good-faith effort to resolve any billing concerns prior to initiating a chargeback or payment dispute with their financial institution.

If a chargeback or payment dispute is initiated for a valid CULTURE. charge:

• The membership will be immediately suspended pending resolution.

• A $35 chargeback administration fee may be assessed to cover administrative costs associated with responding to the dispute.

• CULTURE. reserves the right to dispute the chargeback and provide supporting documentation to the issuing financial institution.

• The member remains financially responsible for all valid membership charges, services rendered, products received, and any outstanding account balances regardless of the chargeback status.

Repeated Payment Failures

Members who demonstrate a repeated pattern of failed payments, declined transactions, late payments, chargebacks, or other payment-related issues may have their membership suspended or permanently terminated at CULTURE.'s sole discretion.

CULTURE. also reserves the right to refuse future memberships, services, purchases, or access to any individual with a history of payment non-compliance.

2.5 Open Gym Use, Unsupervised Training & Hazardous Activities

CULTURE. OPEN GYM. is a self-directed training environment and may operate during periods when no CULTURE. staff are present. By accessing and using the facility, members acknowledge and accept the additional risks associated with unsupervised exercise.

Members are solely responsible for selecting exercises, equipment, resistance levels, and training methods that are appropriate for their own physical condition, experience, and abilities.

Members agree to:

• Exercise only within their own physical abilities and limitations.

• Immediately discontinue use of any equipment that appears damaged, unsafe, or malfunctioning and promptly notify CULTURE. staff.

• Follow all posted safety instructions, facility rules, equipment guidelines, and staff directives.

• Use safety equipment, including safety bars, collars, clips, and similar protective devices whenever appropriate.

• Return all equipment to its designated location after use.

Members may not:

• Attempt stunts, acrobatic movements, gymnastics-style exercises, parkour, dangerous challenges, or other hazardous activities that present an unreasonable risk of injury.

• Perform maximum-effort lifts or other high-risk exercises without taking appropriate safety precautions.

• Spot, coach, instruct, or physically assist another member unless expressly authorized by CULTURE.

• Enter restricted areas, including the boxing ring, reserved class spaces, secured staff areas, or any area closed for maintenance, events, or scheduled programming.

Members acknowledge that CULTURE. staff may not be present during all approved open gym hours and that emergency assistance may not be immediately available.

Members voluntarily assume all risks associated with self-directed and unsupervised training.

CULTURE. reserves the right to immediately remove, restrict, suspend, or terminate any member whose conduct is determined to be unsafe, reckless, negligent, or otherwise inconsistent with the safety standards of the facility.

2.6 Equipment Etiquette, Time Limits & Zone Priority

To promote a safe, respectful, and efficient training environment, all OPEN GYM. members are expected to share equipment responsibly and respect designated training areas.

Members agree to:

• Return all equipment to its designated location immediately after use.

• Wipe down and sanitize all equipment after each use using the cleaning supplies provided.

• Share equipment courteously during peak usage periods.

• Observe reasonable time limits on equipment when other members are waiting, including a recommended maximum of twenty (20) minutes on cardio equipment during periods of high demand.

• Immediately vacate any area designated for GROUP FITNESS. classes, private training, ATHLETE. programming, specialty events, workshops, maintenance, or other scheduled activities upon request by CULTURE. staff.

Members may not:

• Reserve, claim, or leave equipment unattended for extended periods.

• Create multi-station circuits or occupy multiple pieces of equipment during busy periods when doing so limits access for other members.

• Move, relocate, stack, modify, or remove equipment without prior authorization from CULTURE. staff.

• Interfere with scheduled class setups, event preparations, cleaning procedures, or reserved equipment.

CULTURE. reserves the right to modify equipment availability, establish additional equipment usage guidelines, or temporarily restrict access to specific areas or equipment as reasonably necessary for operational, safety, maintenance, or business purposes.

Failure to comply with this policy may result in verbal warnings, temporary access restrictions, suspension of membership privileges, or termination of membership.

2.7 Access Codes, Security & Non-Staffed Hours

As a CULTURE. OPEN GYM. member, you may be issued a unique personal access code (PIN) to enter the facility during designated open gym hours, including approved non-staffed operating hours.

Personal Access Code

Your access code is assigned exclusively to you and is strictly confidential and non-transferable. Access codes may not be shared, loaned, sold, transferred, or provided to any other individual under any circumstances, regardless of whether that individual is a current or former CULTURE. member.

Unauthorized Entry & Tailgating

Members may not allow any unauthorized individual to enter the facility using their access code or by permitting another person to enter behind them ("tailgating"). Every individual entering the facility must possess their own active membership or other authorized access approved by CULTURE.

Non-Staffed Facility Access

During designated non-staffed hours, the facility operates without on-site supervision. Members acknowledge that:

• CULTURE. staff may not be present to provide assistance, supervision, instruction, or emergency response.

• Members are voluntarily using the facility at their own risk.

• Emergency assistance may not be immediately available.

• Members are solely responsible for exercising safely and complying with all facility rules during non-staffed hours.

Security Monitoring

CULTURE. utilizes security measures, including but not limited to electronic access logs, security cameras, video surveillance, and other monitoring systems to protect members, staff, property, and facility operations.

By accessing the facility, members consent to the collection and review of security footage, access records, and related security information for operational, safety, investigative, and policy enforcement purposes.

Violation of Access Policies

Unauthorized sharing of access codes, permitting unauthorized entry, bypassing security procedures, tampering with locks or security systems, or otherwise violating this policy may result in:

• Immediate suspension or permanent revocation of OPEN GYM. access.

• Immediate termination of membership without refund.

• Financial responsibility for any damages, losses, theft, or unauthorized use resulting from the violation.

• Permanent restriction from future CULTURE. memberships, services, or facility access.

CULTURE. reserves the right to deactivate, replace, modify, or revoke any access code or facility access privilege at any time for security, operational, maintenance, or business purposes, with or without prior notice.

3. MEMBERSHIP CHANGES

3.1 Membership Cancellation

Members may cancel their CULTURE. OPEN GYM. membership at any time by submitting the official Membership Cancellation Request Form. Submission of this form constitutes the member's official written thirty (30) calendar day notice of cancellation.

The official Membership Cancellation Request Form is the only accepted method of cancelling a membership. Requests submitted via email, text message, phone call, social media, direct message, or verbal communication with any CULTURE. team member will not be accepted or processed. The Membership Cancellation Request Form is available through the CULTURE. website or any other location designated by CULTURE.

All memberships require a minimum two (2) month commitment before cancellation is permitted. The two-month commitment begins on the date of the initial membership payment and applies regardless of facility usage, attendance, or account activity.

The thirty (30) calendar day notice period begins on the date and time the Membership Cancellation Request Form is successfully submitted.

Membership billing will continue as scheduled during the required thirty (30) calendar day notice period. If a regularly scheduled billing date occurs within the notice period, that payment will be processed as normal. Members will continue to receive OPEN GYM. access and membership benefits until the effective cancellation date.

Cancellation of a membership does not cancel or affect any separately purchased services, events, retail purchases, private training packages, or other agreements unless expressly stated in writing by CULTURE.

Cancellation requests cannot be submitted retroactively. The effective notice date is determined solely by the timestamp of the submitted Membership Cancellation Request Form.

No refunds, prorated credits, or reimbursements will be issued for membership fees charged during the required cancellation notice period.

Submission of a Membership Cancellation Request Form does not waive or satisfy any outstanding account balance. Any unpaid membership dues, late fees, chargeback fees, or other outstanding charges incurred prior to the effective cancellation date remain the sole responsibility of the member.

It is the member's responsibility to submit the Membership Cancellation Request Form in a timely manner. Failure to submit the official form does not constitute notice of cancellation and does not release the member from future billing obligations.

CULTURE. reserves the right to verify all cancellation requests and process membership termination in accordance with these Terms & Conditions.

3.2 Membership Freezes

CULTURE. offers eligible members the option to temporarily freeze their membership under the following terms:

Standard Membership Freeze

• Members may request one (1) membership freeze per calendar year for up to three (3) consecutive months.

• A $15 monthly freeze fee will be charged for each month the membership is frozen.

• Freeze requests must be submitted through CULTURE.'s designated communication method in accordance with Section 10 at least five (5) business days prior to the member's next scheduled billing date.

• Membership billing will be suspended during the approved freeze period, excluding applicable freeze fees.

• Members may not access the facility, utilize OPEN GYM. privileges, or otherwise use membership benefits while the membership is frozen.

Medical Membership Freeze

• Medical freezes are exempt from the monthly freeze fee but require documentation from a licensed healthcare provider.

• The duration of a medical freeze will be determined on a case-by-case basis and is subject to CULTURE.'s approval.

Extended Freeze Requests

• Members experiencing long-term injury, surgery, pregnancy, military deployment, or other extraordinary circumstances may request an extended membership freeze.

• Approval of extended freeze requests is at the sole discretion of CULTURE. and may require supporting documentation.

General Freeze Conditions

• Freeze requests cannot be applied retroactively.

• Membership freezes do not extend promotional pricing, founding member benefits, or grandfathered membership rates unless expressly approved in writing by CULTURE.

• No refunds or credits will be issued for late freeze requests or for memberships used prior to an approved freeze becoming effective.

CULTURE. reserves the right to approve, deny, modify, or discontinue membership freeze privileges at its sole discretion.

3.3 Refund Policy

Except as expressly provided in these Terms & Conditions or as otherwise required by applicable law, all OPEN GYM. membership purchases, membership dues, late fees, chargeback fees, retail purchases, event registrations, and other charges are final and non-refundable.

Any exception shall be made solely at CULTURE.'s discretion and shall not establish a precedent for future refunds.

• Conduct themselves in a manner that contributes to a safe, inclusive, supportive, and positive training environment.

• Accept responsibility for their actions, facility usage, equipment usage, and adherence to all CULTURE. policies.

Disruptive, abusive, threatening, discriminatory, harassing, intimidating, or otherwise inappropriate conduct toward staff, members, guests, or visitors will not be tolerated.

CULTURE. reserves the right to issue warnings, remove a member from the facility, suspend membership privileges, or terminate membership at any time if a member's conduct is determined to be inconsistent with the standards, values, or safety of the CULTURE. community.

Membership termination or disciplinary action under this section shall not entitle the member to any refund, credit, or reimbursement.

4.2 Respect for Space & Equipment

CULTURE. is a professionally maintained training facility, and all members are expected to treat the space, equipment, and amenities with care, respect, and accountability.

Members agree to:

• Immediately report any damaged, malfunctioning, or unsafe equipment to a CULTURE. team member.

• Keep walkways, emergency exits, and shared training areas free from personal belongings, equipment, or other obstructions.

Members are financially responsible for any damage to CULTURE.'s facility, equipment, or property resulting from intentional misconduct, negligence, misuse, unauthorized modification of equipment, or failure to follow facility policies or staff instructions.

CULTURE. reserves the right to restrict access, suspend membership privileges, assess reasonable repair or replacement costs, or terminate membership for misuse of equipment, damage to the facility, failure to maintain shared spaces, or failure to comply with this policy.

4.3 Staff Interaction & Authority

CULTURE. coaches, front desk staff, and leadership team are responsible for maintaining the safety, operations, and overall member experience within the facility. Members are expected to treat all CULTURE. team members with professionalism, courtesy, and respect and to comply with all reasonable instructions provided by staff.

Members may not:

• Engage in verbal abuse, harassment, intimidation, threats, discrimination, or disruptive behavior toward any CULTURE. team member or other member.

• Interfere with, interrupt, or undermine the responsibilities of CULTURE. staff.

• Coach, instruct, correct, physically train, or provide unsolicited training advice to other members unless expressly authorized by CULTURE.

• Conduct personal training, group instruction, business solicitation, or promotion of outside services within the facility without prior written approval from CULTURE.

• Refuse to comply with reasonable staff instructions related to safety, facility operations, equipment usage, security procedures, or enforcement of these Terms & Conditions.

All decisions made by CULTURE. staff regarding safety, facility operations, equipment usage, security, scheduling, or policy enforcement are final while on CULTURE. premises.

Failure to comply with staff direction or violation of this section may result in immediate removal from the facility, suspension of membership privileges, termination of membership, or any other action deemed appropriate by CULTURE. No refund or credit will be issued as a result of disciplinary action taken under this section.

4.4 Attire & Hygiene

To promote a safe, professional, and enjoyable training environment, all members are expected to maintain appropriate attire and personal hygiene while using the CULTURE. facility.

Members are required to:

• Wear closed-toe athletic shoes while using strength equipment, cardio equipment, turf areas, and the boxing zone unless otherwise authorized by CULTURE.

• Comply with all footwear requirements for designated areas of the facility, including the studio, where shoes are prohibited unless otherwise authorized by CULTURE.

Members are expected to maintain reasonable personal hygiene, including wearing clean workout attire and using deodorant or other appropriate hygiene products. Members whose hygiene, attire, or condition creates an unreasonable disruption, health concern, or negative experience for others may be asked to leave the facility or return at a later time.

CULTURE. reserves the right to deny facility access, remove a member from the premises, or restrict membership privileges if a member fails to comply with attire, safety equipment, footwear, or hygiene requirements.

4.5 Personal Belongings & Lost Items

Members are solely responsible for all personal belongings brought onto CULTURE. premises. CULTURE. is not responsible or liable for any lost, stolen, misplaced, or damaged personal property, regardless of where such property is stored or left within the facility.

Members are encouraged to leave valuables at home whenever possible and to properly secure all personal belongings while using the facility.

Members agree to:

• Store all bags, clothing, phones, and personal items in designated areas and keep walkways, workout spaces, and emergency exits clear at all times.

• Refrain from leaving personal belongings unattended in workout areas, equipment zones, studios, or common spaces.

• Promptly retrieve all personal belongings upon leaving the facility.

Found property will be placed in CULTURE.'s designated Lost & Found area for up to seven (7) calendar days. After that time, unclaimed items may be donated, discarded, or otherwise disposed of at CULTURE.'s sole discretion.

CULTURE. reserves the right to remove unattended personal property that creates a safety hazard, obstructs facility operations, interferes with the member experience, or restricts access to equipment or designated training areas.

4.6 Substance Use & Intoxication

CULTURE. is committed to providing a safe, professional, and high-performing training environment. Members are expected to participate in all facility activities in a manner that does not compromise their own safety or the safety and experience of others.

Members may not enter or use the CULTURE. facility while under the influence of alcohol, cannabis, illegal drugs, or any substance that may impair judgment, coordination, reaction time, or the ability to safely participate.

The possession, use, sale, or distribution of illegal drugs or controlled substances on CULTURE. premises is strictly prohibited and may result in immediate removal from the facility and permanent termination of membership.

Members taking prescription medications are responsible for ensuring they are able to safely participate in physical activity. CULTURE. reserves the right to deny access if a member appears unable to safely participate, regardless of the cause.

Alcohol may be served at select CULTURE. events; however, disruptive, unsafe, intoxicated, or inappropriate behavior will not be tolerated and may result in immediate removal from the event or facility.

CULTURE. reserves the sole right to deny facility access, remove any individual from the premises, suspend membership privileges, or terminate membership if staff reasonably believe the individual presents a safety risk, is impaired, or is otherwise unable to safely participate. Any action taken under this section shall not entitle the member to a refund, credit, or reimbursement.

4.7 Guest & Visitor Policy

CULTURE. may offer guest privileges to eligible OPEN GYM. members as a membership benefit. Guest privileges are a courtesy extended at CULTURE.'s sole discretion and may be modified, suspended, or discontinued at any time.

Unless otherwise specified by CULTURE., active OPEN GYM. members may invite one (1) guest per calendar month.

Guest participation is subject to the following conditions:

• Each guest must create their own CULTURE. account and complete all required waivers and agreements prior to entering the facility.

• Guest access is limited to OPEN GYM. only and does not include GROUP FITNESS. classes, private training, specialty programs, events, or other services unless separately authorized by CULTURE.

• All guest visits must be registered through CULTURE.'s designated booking platform or other approved registration process.

• Guest access is subject to facility capacity, operational needs, staffing, safety considerations, and staff approval.

• Guests must comply with all CULTURE. policies, including these Terms & Conditions, facility rules, safety requirements, and staff instructions.

• The hosting member is responsible for ensuring their guest complies with all CULTURE. policies and may be held financially responsible for any fees, damages, or policy violations incurred by their guest.

Guests who fail to follow CULTURE. policies, disrupt the member experience, create safety concerns, or misuse the facility may be denied future access.

CULTURE. reserves the right to deny, restrict, suspend, or revoke guest privileges at any time for operational, safety, capacity, security, or business reasons without prior notice. Guest privileges are a membership benefit and do not create a guaranteed right of access.

4.8 Environmental Controls, Doors & Emergency Exits

To protect the safety, security, operations, and overall member experience, members must comply with all facility security and environmental control policies.

Members may not:

• Adjust, tamper with, or interfere with thermostats, HVAC systems, lighting controls, sound systems, televisions, security equipment, access control systems, or any other facility controls without prior authorization from CULTURE.

Emergency exits are to be used only during an actual emergency or when otherwise directed by emergency personnel or CULTURE. staff.

Members are responsible for helping maintain a safe and secure facility environment by promptly reporting any suspicious activity, security concerns, equipment damage, or facility hazards to CULTURE.

Violation of this policy may result in immediate suspension or termination of membership, permanent revocation of facility access, financial responsibility for any resulting damages or losses, and any other legal or equitable remedies available to CULTURE.

• It is your responsibility to maintain accurate and current emergency contact information within your member profile.

To the fullest extent permitted by law, CULTURE. shall not be liable for any acts, omissions, delays, or outcomes relating to emergency response, medical treatment, emergency transportation, the availability of emergency services, or the absence of staff during approved non-staffed operating hours.
